CGS3 Building Innovation Series Continues in July with “The Bulletproof LLC”

SAN DIEGO – Phil Jelsma and Greg Markow, partners at San Diego-based Crosbie Gliner Schiffman Southard & Swanson LLP (CGS3), will continue the firm’s Building Innovation Series this Thursday, July 30, presenting “The Bulletproof LLC: How to Maximize Protection and Avoid Common Mistakes.”

The event – to be held at the CGS3 offices at 12750 High Bluff Drive, Suite 250 – starts with an opening reception at 5:30 p.m. followed by a panel discussion led by Markow and Jelsma at 6 p.m.

The presentation will highlight common errors in the creation and operation of limited liability companies (LLCs) and discuss ways commercial real estate professionals can use and operate LLCs to ensure liability protection is maximized.

According to Jelsma, he and Markow will discuss the pitfalls and benefits LLCs, which commercial real estate owners often set up to protect themselves from liability. Problems often arise when people fail to set up the companies properly or neglect to operate and manage them appropriately after attorneys create the entity. “When misused, LLCs can actually increase exposure to liabilities, including personal liability of company principals,” Markow notes.

Both Jelsma and Markow have decades of experience working with commercial real estate owners and developers. With a nearly 30-year background in real estate exchange transactions, syndications, nonprofit corporations and international tax planning, Jelsma is chair of CGS3’s tax practice team and widely recognized as one of the state’s leading joint venture and tax attorneys.

Chair of the firm’s litigation practice team, Markow has a long history in representing real estate investors, owners and property management companies looking to minimize risks that lead to litigation – defending them when disputes cannot be avoided.
